Welcome to V-Rail. These Terms of Service (“Terms”) govern your access to and use of our websites, applications, and VPN services (collectively, the “Service”). By creating an account, downloading our app, or using the Service, you agree to these Terms.

These Terms are a general template and may need adjustment for your specific jurisdiction and business model. They are not legal advice.

  1. Eligibility and Account Registration

You must be able to form a legally binding contract in your jurisdiction to use the Service. You agree to provide accurate information when creating an account and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, contact us promptly at [email protected].

  1. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful personal or internal business purposes, subject to these Terms.

2.1 You must not use the Service to:

  • Engage in illegal activities, or promote or facilitate illegal activities (including trafficking, exploitation, or illegal content distribution).

  • Hack, intrude, or gain unauthorized access to systems, accounts, networks, devices, or data (including attempts to probe, scan, or test the vulnerability of a system without authorization).

  • Distribute malware, spyware, ransomware, worms, trojans, or any other malicious code, or use the Service to enable command-and-control infrastructure.

  • Conduct or facilitate denial-of-service attacks (DoS/DDoS), traffic flooding, or any activity intended to disrupt, degrade, or overload any service, network, or infrastructure.

  • Send, facilitate, or support spam (unsolicited bulk messages), phishing, social engineering, credential harvesting, or scams.

  • Violate intellectual property rights, privacy rights, or other rights of any person or entity.

  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from the Service, except to the extent permitted by applicable law.

  • Bypass or attempt to bypass any access controls, rate limits, usage caps, or other security or technical measures implemented by us.

  • Use the Service in a way that could reasonably be expected to cause harm, liability, or disruption to us, our users, our partners, or others.

You are responsible for ensuring your use of the Service complies with all laws, regulations, and rules applicable to you.

  1. Fair Use, Free Plans, and Abuse Prevention

If we offer a free tier or trial, it is provided for evaluation and personal use, subject to fair use limits. You agree not to abuse free access, including by:

  • Creating multiple or “alternate” accounts to evade limits, restrictions, or fees
  • Using automation to create accounts or consume the Service at scale
  • Reselling, sublicensing, or commercially exploiting free access without written permission

We may impose reasonable limits (for example, bandwidth, device counts, or connection frequency) to maintain service quality and prevent abuse.

  1. Account Sharing and Device Limits

Unless your plan explicitly allows it, you may not share your account with people outside your household or organization. In particular, you agree not to share your account with strangers, post credentials publicly, or provide access to others in exchange for payment or other benefits.

We may enforce device limits or concurrent connection limits associated with your plan.

  1. Subscriptions, Billing, and Payments

Paid plans are billed in advance on a recurring basis unless stated otherwise. Payment processing is handled by a third-party processor (e.g., Stripe). You authorize the processor to charge your payment method for subscription fees, taxes (if applicable), and other charges you agree to.

5.1 Payment fraud prohibited

You may not attempt payment fraud, including using stolen payment methods, unauthorized chargebacks, or disputing legitimate charges without a good-faith basis. We may suspend or terminate accounts associated with suspected fraud and may refer matters to appropriate parties as required.

Unless otherwise stated, fees are non-refundable to the maximum extent permitted by law, except where refunds are required by law or where we explicitly offer a refund policy.

  1. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

  1. Service Availability and Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue parts of the Service at any time, including to maintain security, comply with law, or improve performance.

  1. Suspension and Termination

We may suspend or terminate your access to the Service (in whole or in part) if we reasonably believe:

  • You violated these Terms or our policies
  • Your use poses a security risk, may cause harm, or may create liability for us or others
  • Your account is involved in fraud or suspected payment abuse
  • We are required to do so by law

You may stop using the Service at any time and may delete your account where supported by the Service.

  1. User Content and Responsibility

The Service is a tool that routes network traffic. You are solely responsible for your activity, including any content you transmit, access, or share while using the Service, and for complying with laws and third-party terms (for example, the terms of websites, apps, and services you use).

  1. Intellectual Property

The Service, including software, trademarks, logos, and other materials, is owned by us or our licensors and is protected by applicable intellectual property laws. You may not use our branding without our prior written consent.

  1. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

  1. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us (if any) for the Service in the 12 months before the event giving rise to the claim, or US$100 (or the equivalent in your local currency) if you have not paid anything, whichever is greater.

  1. Indemnification

You agree to defend, indemnify, and hold harmless V-Rail and its affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or rights of a third party.

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where V-Rail is established, without regard to conflict of laws principles. Courts located in that jurisdiction will have exclusive jurisdiction over disputes, unless applicable law requires otherwise.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, via the Service or email). Continued use of the Service after changes become effective means you accept the updated Terms.
